Alexa is a Public Offerings/Public Companies partner in our San Francisco office.
Alexa advises companies including their management teams and boards of directors on a range of securities regulation and corporate governance topics. She works with clients preparing to go public and through the full scope of post-IPO matters, including ongoing public reporting and compliance and various forms of public and private debt and equity financings. She has led at-the-market equity offerings, Rule 144A offerings of convertible debt and other securities, and putting up shelf and resale registration statements. Her practice encompasses all aspects of public company representation, including assisting clients with an array of securities law structures for strategic transactions and mergers and acquisitions, as well as directing issuer share repurchases and reorganizations. She works with companies throughout the year on corporate governance topics and compliance with NYSE and Nasdaq listing standards, Sarbanes Oxley, Dodd Frank, and U.S. federal securities laws. She regularly works with companies on ’34 Act disclosure questions, responding to SEC comment letters, fine tuning corporate governance policies and procedures, and Section 16 topics.
“Gunderson is a name synonymous with counseling leading companies – at all stages from formation through the transformational process of becoming a public company and beyond,” said Alexa upon joining the firm. “I’m excited to work with Gunderson’s amazing talent both on the client and the firm side and eager to continue the growth of the Public Offerings/Public Companies practice.”
