Gunderson Dettmer represented Chile-based client Zapping, an internet subscription TV service company, in its acquisition of Brazil-based Guigo Television, an internet TV service provider. Zapping provides subscription-based live TV services over the internet that can be streamed on any Smart TV, cell phone, or compatible device.

The multi-jurisdictional acquisition closed in Q4 2022 included the incorporation of the Brazilian company’s shareholders as members of Zapping’s new holding company. It also involved the coordination of various jurisdictions due to the reorganization of Zapping from a Chilean entity to the incorporation of a new holding company in Delaware, the internationalization of Zapping and some internal restructuring as the Brazilian company’s parent company is based in Cayman. The merger of the two Latin American companies will enable their expansion in the region and bring their technology and services to a potential market of more than 40 million users.
