Rich, originally based in our Silicon Valley office, is a partner and co-founder of our Boston office. Rich's practice is focused on the representation of start-up, emerging growth and public companies and venture and private equity investors. Rich specializes in corporate and securities law; venture capital financings; IPO’s and public offerings; commercial financings; mergers and acquisitions; and venture fund formations.

Rich has worked with emerging growth companies in a variety of fields, including software, mobile apps and gaming, medical device, consumer products, financial services, life science and biotechnology, telecommunications and semiconductors. He regularly advises company clients and their management on a broad range of corporate matters, including company formation, equity structures, financing negotiations, public offerings, corporate governance responsibilities, equity incentive plans and arrangements, employment matters, intellectual property, strategic and commercial transactions and exit events. Rich has also represented institutional investors in a variety of fund formation, venture financing, public offering, tender offer, buy-out and recapitalization transactions. Rich has served as investors' counsel for numerous top-tier venture capital, growth and crossover funds.

In particular, Rich has represented numerous emerging growth companies and institutional investors involved in cross-border transactions. He has significant experience in representing US and London-based venture capital funds in transactions in the United Kingdom and Western Europe. Rich has participated in the National Venture Capital Association (NVCA) Model Document Working Group and helped prepare the NVCA's model venture capital financing documents.
