John is an experienced public companies attorney whose practice sits at the intersection of capital markets, venture finance and the realities of being a significant holder of public company securities. He focuses primarily on investor‑side PIPE transactions and advising fund and crossover investor clients on “life after closing” as public shareholders, including SEC filing considerations, lock‑up reviews and liquidity strategy. John also counsels public company clients on corporate governance, SEC reporting and general corporate matters, and continues to represent venture‑backed private companies and investors in financings and ongoing company advisory work.

John’s capital markets practice centers on PIPEs, registered directs and other structured investments by institutional investors into public companies. He helps clients structure and negotiate deals, navigate securities law and stock exchange issues, and plan for post‑closing ownership, including beneficial ownership reporting, Section 16, Rule 144, lock‑ups and resale and distribution planning. On the issuer side, he advises boards and management on ’34 Act disclosure, proxy and annual meeting matters, insider trading and 10b5‑1 planning, related‑party transactions and stock exchange compliance. Having started his career as a venture financing attorney, John brings a lifecycle perspective—from early‑stage preferred rounds through late‑stage crossover deals and into public‑company capital markets and strategic transactions.

Outside of work, John spends most of his time with his wife, Katie, and their two young kids, usually outdoors. He loves snowboarding, golfing, fishing and days at the lake—despite being impressively mediocre at golf and surprisingly ineffective at convincing fish to take the bait. His clients count on him for calm, practical deal advice, not his handicap or his catch rate, and he’s perfectly happy to let other people win the tournaments and land the trophy fish.
