Hims & Hers Announces Agreement to Acquire Eucalyptus

Gunderson Dettmer represented Hims & Hers, the leading health and wellness platform, on U.S. legal matters in connection with its agreement to acquire Eucalyptus, an Australian-based digital health leader, for up to $1.15 billion. 

The transaction is subject to customary purchase price adjustments. The acquisition is subject to customary closing conditions, including regulatory approvals, and is expected to close during the middle of calendar year 2026.

The Gunderson deal team was led by M&A partner David Moore and included public companies partners Alexa Belonick and Elena Vespoli, M&A associate Jordan Hecht, executive compensation partner Sharon Hendricks and associate Sofia Rattes, tax partner Jaime Narayan, and strategic transactions and licensing associate Cameron Jahansouz.
