Pete’s corporate and securities law practice focuses on the structuring, formation, organization and operation of venture capital and other private equity funds and their general partner and management company entities. Pete advises clients in the preparation of offering materials, negotiations with investors on fund formation matters, drafting partnership, LLC and other governance agreements, and counseling fund managers on all aspects of day-to-day operations. He regularly counsels clients on compliance with Investment Company Act of 1940, the Investment Advisers Act of 1940, and ERISA, as well as other statutes and regulations applicable to venture and private equity funds. Pete represents a number of leading venture capital firms and routinely advises first-time fund managers.
