Anduril Industries Acquires Dive Technologies

Gunderson Dettmer represented client Anduril Industries, a developer of artificial intelligence-based hardware and software technology, in its acquisition of Dive Technologies, a developer of underwater vehicles. Anduril aims to integrate Dive’s Large Format Additive Manufacturing (LFAM) to its autonomy software, Lattice OS, to transform military capabilities with advanced technology. The acquisition expands Anduril’s suite of autonomous systems, extends its unmanned capabilities to the undersea domain, and accelerates the company’s strategic growth.

In the announcement of the transaction, co-founder and CEO of Anduril Brian Schimpf said, “The world beneath the ocean is completely different than the one above it. It requires different types of sensors, modalities, and problem solving than the work we are doing in air, land and space. The Dive Technologies team brings unparalleled, deep domain expertise under the sea as well as a shared commitment to transforming U.S. and allied military capabilities with advanced technology. We are thrilled to have them on board.”

The Gunderson deal team was led by corporate partner Lou Soto, M&A chair Andrew Luh, tax partners Mark Foster and Lily Kim, of counsels Adam Lin and Laurel Fedder, and associates David Moore, Jeff Salomon, Jesse Birbach, Matthew Weber, and Jake Winton.
