Emily’s practice focuses on the formation, organization, and operation of venture capital and other private investment funds and their general partner and management company entities. She advises fund managers on structuring new funds, preparing offering materials, and negotiating with investors on fund formation and governance matters.

Emily also counsels funds and their sponsors on day-to-day operational and compliance issues, leveraging her experience with regulatory compliance, contract drafting, and transactional matters. She works with both established venture capital firms and emerging managers, supporting them throughout the fundraising lifecycle and ongoing fund operations.
