Rick is a corporate and securities associate in our New York City office.
Rick specializes in the representation of emerging growth companies throughout their lifecycles. Rick's practice focuses on general corporate counseling, venture capital financings and mergers and acquisitions. Rick represents a wide variety of technology companies from consumer internet, software, telecommunications and entertainment technology industries, as well as a number of leading venture capital firms.
Rick advises funds in all aspects of their operations, including preparation of investor presentations and offering memoranda, drafting of partnership agreements, limited liability company agreements and intra-fund agreements, negotiations with limited partners throughout the formation process, the admission and withdrawal of partners and members, and various aspects of day-to-day operations and investment activities. Rick’s practice also includes experience with securities laws and associated public reporting, the Investment Company Act of 1940, the Investment Advisers Act of 1940, ERISA, and other regulations applicable to venture capital funds.
Rick is a graduate of the New York University School of Law, where he was Co-Chair of the Law & Social Entrepreneurship Association and an Articles Editor of the NYU Journal of Law & Business.
