Nathan is a corporate fund associate in our Austin office.
Nathan specializes in the formation, organization and operation of venture capital funds and their associated general partner and management company entities. He regularly represents a number of leading venture capital firms and routinely advises first-time fund sponsors.
In addition to venture capital funds, Nathan has significant experience representing fund sponsors in other alternative asset classes including private equity, real estate, infrastructure and credit. Further, he has represented certain prominent institutional investors in connection with their investments in a variety of private investment funds.
Nathan counsels funds during all stages of their organization and fundraising, including in preparing private placement offering materials, negotiating the terms of funds with prospective investors and designing optimal governing agreements. After fundraising, he counsels fund managers on all aspects of day-to-day fund operations and provides sophisticated advice regarding fund sponsor operations, including with respect to economic and governance issues. In addition, he regularly counsels clients on compliance with the Investment Company Act of 1940 and the Investment Advisers Act of 1940, as well as other statutes and regulations applicable to fund sponsors and their funds.
Nathan was previously resident in the New York office of another leading international law firm where his corporate and securities law practice focused on the formation and operation of private funds.
Prior to his career in law, Nathan worked for nearly a decade as a political strategist. He has served as a senior advisor to a number of prominent leaders in federal, state and tribal governments. His past work includes negotiating major legislative and budgetary agreements, managing winning electoral campaigns and leading a well-regarded political action committee, among other endeavors.

Nathan previously served as a law clerk in The United States Attorney's Office for the Western District of Texas and in The United States Attorney’s Office for the Northern District of Texas.
Achievements
Nathan has served on the Board of Directors of the Alumni Association of Duke University School of Law, the Board of Directors of Central Oklahoma Habitat for Humanity and the Board of Directors of the Oklahoma City Philharmonic Associates. In addition, he has been recognized as a Tinker Air Force Base “Community Star” and is a graduate of Leadership Norman Class XXIX.
