
David T. Myerson
David is a corporate fund associate in our Boston office.
David specializes in the formation, organization and operation of venture capital, growth equity, and other private equity funds and their general partner and management company entities, including representing fund clients in connection with their investments. David counsels funds in all stages of their fundraising and organization, including in determining fund structure, preparing offering materials, negotiating fund terms with investors, and drafting partnership, limited liability company, and other governance agreements. David also advises on securities laws, compliance with the Investment Company Act of 1940, the Investment Advisers Act of 1940, ERISA, securities filing obligations, and other aspects of the regulatory framework applicable to formation and governance. After fundraising, David counsels fund managers on all aspects of day-to-day operations. David works with a number of leading venture capital firms and also routinely advise first-time managers looking to start their own firms.
David holds a J.D. from Northwestern University Pritzker School of Law, where he graduated cum laude, and a degree in economics from Bates College. Prior to law school, David was one of the founding team members of Haymakers for Hope, a non-profit organization that has been empowering ordinary people to rise to the competitive challenge of participating in USA Boxing Sanctioned charity boxing events to raise funds for cancer research, care, awareness, and survivorship.
