Dan specializes in the formation, organization and operation of venture capital and other private equity funds and their general partner and management company entities. He counsels funds in all stages of their fundraising and organization, including in preparing offering materials, negotiating with investors regarding fund formation matters, and drafting partnership, limited liability company and other governance agreements. After fundraising, he counsels fund managers on all aspects of day-to-day operations. Dan represents a number of leading venture capital firms and routinely advises first-time fund managers.

Prior to joining Gunderson Dettmer, Dan was previously Counsel at Silver Point Capital, a credit and special situations-focused investment management firm, with assets under management in excess of $20 billion, where he was involved in a wide variety of legal matters, including investment fund matters, fund formation, private equity and venture investments, co-investments, investment banking matters, internal incentive plans and other employee matters, investment adviser regulatory and compliance matters, investor relations, conflicts of interest, and disclosure considerations, among others.  Prior to joining Silver Point, Dan was resident in the New York office of another leading international law firm, where his corporate and securities law practice focused on the formation and operation of private funds.
