Corporate Fund Formation: JD 2009 - 2014

Exec. Comp: JD 2013 - 2014 (We are searching for a junior to mid-level associate to join our executive compensation group. The ideal candidate has experience with equity compensation for both public and private companies, drafting offer letters and employment agreements, public company compensation disclosure, M&A transactions, and the related tax and securities law issues. ERISA experience not required.)

Corporate M&A: JD 2009 – 2013 (We are searching for a mid-level to senior associate with experience in a law firm corporate group. Practice should be concentrated on M&A, ideally with a mix of both buy and sell side representations. Experience with technology sector M&A deals is a plus, but not a requirement.)

Corporate Fund Formation: JD 2014 – 2015 (The ideal candidate for the fund associate position in our Boston office will have a strong desire to focus his or her practice on venture capital investment fund formation and will have relevant experience in the corporate group of a top-tier law firm. Experience representing venture capital or private equity firms in fund formations, as well as ongoing investment firm operations matters and compliance with the Investment Company Act, the Investment Advisers Act, the Securities Act and other regulatory requirements, is preferred but not required. This is a unique opportunity to become a key, client-facing member of a team that represents a number of leading venture capital firms, both in the U.S. and internationally.)

The group focuses on drafting and negotiating agreements on behalf of clients, providing general intellectual property and business counseling, and working on transactions in all stages of our clients’ businesses, from formation to financings and acquisitions.)
