JOHN is a partner in our Silicon Valley office. John focuses on representing emerging growth companies throughout their lifecycle, from start-up to acquisition or continued representation as a public company, following an IPO. He counsels entrepreneurs on the formation of their companies, equity structures and negotiations with seed and venture capital investors and works extensively representing and advising venture capital firms and private equity investors that invest in emerging growth technologies. His practice concentrates on private and public offerings of securities, mergers and acquisitions and counseling public companies and later stage private companies on a broad range of matters, including equity and debt financing structures, corporate governance responsibilities, equity incentive plans and arrangements, employment matters and strategic and commercial transactions. John also works with investment banks in connection with private and public offerings of securities.

John received a J.D., magna cum laude, from the University of California, Hastings College of the Law, where he was a member of The Hastings Law Journal. John received a B.S. in Managerial Economics from the University of California at Davis. John is admitted to practice in California.
