DAVE is a partner in the Corporate and Securities Group in our Silicon Valley office. He focuses on representing emerging growth companies throughout their lifecycle, from start-up through initial and expansion rounds of financing to an acquisition or IPO. His start-up practice involves counseling entrepreneurs on the formation of their companies, equity structures, negotiations with seed and venture capital investors, and employment and intellectual property matters. In addition, he works with management of later-stage private companies and public companies on a broad range of matters including private and public offerings, debt financing, corporate governance matters, equity incentive plans, mergers and acquisitions (M&A) and other strategic transactions. In his M&A practice, Dave has represented public and private companies on both the buy-side and sell-side, including numerous cross-border transactions.
Dave also represents venture capital and other institutional investors in a variety of venture financing, private equity and recapitalization transactions, and he has worked with investment banks in connection with private and public offerings of securities. Dave also recently participated in the National Venture Capital Association (NVCA) Model Document Working Group in preparing and updating its model venture capital financing documents.
Dave holds a J.D. from the University of California at Berkeley, Boalt Hall School of Law and an A.B. in Public Policy from Stanford University. Dave is a member of the California State Bar.
