DAN is a partner in our Silicon Valley office, where he heads our Executive Compensation and Employee Benefits practice. Dan counsels clients on employee stock options, restricted stock, employee stock purchase plans and deferred compensation, including the tax aspects and compliance with securities laws. He also advises clients on Section 401(k) plans and compliance with ERISA regulations. Dan often represents senior executives in the negotiation of employment contracts and termination settlements, and he regularly works on employment and severance agreements and golden parachutes.

Dan has represented a large number of clients in major corporate transactions, such as leveraged buyouts, mergers, acquisitions and hostile takeovers. He frequently counsels venture funds on the "plan assets" rules under ERISA.

Prior to joining our firm in June of 1996, Dan was a partner with the law firm of Pillsbury Madison & Sutro, LLP (now Pillsbury Winthrop Shaw Pittman, LLP). During his 22-year career at Pillsbury, he represented corporations of all sizes in California and several other states, including major technology companies in the Silicon Valley and San Diego areas.

Dan is listed in The Best Lawyers in America and America's Leading Lawyers for Business. He is co-author of Executive Compensation for Emerging Companies and has served as a faculty member and speaker at seminars sponsored by PLI, Prentice Hall, Glasser LegalWorks, The SEC Institute, and the Western Pension & Benefits Conference, among other organizations.

Dan holds a J.D. degree from the University of Chicago Law School and a B.A. from The Johns Hopkins University. He is admitted to practice in California.
