BRIAN is a partner in our Silicon Valley office. Brian’s business law practice is focused on the representation of emerging growth companies throughout their lifecycles and in the representation of venture capital and private equity investment funds. Brian is broadly experienced with business and corporate formation and governance matters, deal structuring, equity and debt financing transactions, public offerings, a variety of M&A transactions, strategic, partnering and commercial transactions and fundamental intellectual property, employment and stock and option matters. For early stage companies Brian’s work includes assisting entrepreneurs with key strategic decisions and coaching prior to business formation and initial capital raising, and prospective investor strategy and introductions. For growth and later stage companies Brian has significant experience in providing counsel on the broad range of issues that these companies face such as financing and exit strategy, international expansion and cross-border transactions, corporate governance and fiduciary responsibilities, risk and litigation management, stockholder, employee and customer management. Brian’s representation of emerging growth companies spans a wide variety of industries, including software, consumer web, mobile, gaming, entertainment technology, semi-conductors, life sciences and clean and green technology industries.
Brian also works with, and counsels, a number of venture capital funds of different sizes and focus on their investments, business activities and portfolio company management. In addition, Brian is one of the few attorneys that combine a dynamic emerging company practice with representation of venture capital funds in fund and special purpose investment vehicle formation and general fund operational and administration matters.
Brian holds a J.D. from the Santa Clara University School of Law and an M.B.A. from the Santa Clara University Leavey School of Business. Brian was an Editor on the Santa Clara Computer and High Technology Law Journal. Brian received his B.A. in English/History and Sociology from Emory University. Brian is a member of the California State Bar Association and the American Bar Association.
